By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms” or “Agreement”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

We reserve the right to refuse service to anyone for any reason at any time.  You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.  You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.  The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

We are not responsible if information made available on this site is not accurate, complete or current. Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.  We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.  We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Information Communications - By providing us your telephone number, you agree that we can send you, regardless of dialing technology utilized, informational alerts concerning your inquiry or purchase at the telephone number you provided.  Such informational alerts can include, but are not limited to, purchase confirmations, shipping notifications, and notifications that a transaction you commenced is not complete (e.g. you have left items in your shopping cart without successfully completing the checkout process).  For the avoidance of doubt, the parties expressly agree that the foregoing examples constitute informational communications, and not telemarketing messages.

Marketing Communications - By signing up for email, text messages and Facebook notifications, you agree to receive periodic and recurring marketing messages and alerts from Hyper Drill at the cell number provided when signing up. Carriers are not liable for any delayed or undelivered messages.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address, telephone number(s) and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. In no case shall Hyper Drill our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - DISPUTE RESOLUTION

In the event that there is a dispute, claim or controversy between you and us, or between you and any third-party service provider or application provider acting on our behalf, and which dispute, claim or controversy arises out of or relates to federal or state statutory claims, common law claims, these Terms, our Privacy Policy, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, such dispute, claim or controversy will be determined by arbitration in Miami, Florida before one arbitrator. The arbitration will be administered by JAMS. For claims greater than $250,000, the JAMS Comprehensive Arbitration Rules and Procedures in effect at the time the arbitration is commenced will apply. For claims less than or equal to $250,000, the JAMS Streamlined Arbitration Rules in effect at the time the arbitration is commenced will apply. The arbitrator will apply the substantive law of the State of Florida, exclusive of its conflict or choice of law rules. Nothing in this paragraph will preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the provision in this paragraph with respect to applicable substantive law, the Federal Arbitration Act (9 U.S.C. §§ 1-16) will govern any arbitration conducted pursuant to these Terms. Either party may commence arbitration by providing to JAMS and the other party to the dispute a written demand for arbitration, setting forth the subject of the dispute and the relief requested (“Arbitration Demand”).

To the fullest extent permitted by law, each of the parties agrees that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than through arbitration, each party knowingly and irrevocably waives any right to trial by jury in any action, proceeding or counterclaim arising out of or relating to this Agreement or any of the transactions contemplated hereby.

The appointed arbitrator may award monetary damages and any other remedies allowed by the state law designated above. In making his or her determination, the arbitrator will not have the authority to modify any term or provision of these Terms. The arbitrator will deliver a reasoned written decision with respect to the dispute (the “Award”) to each party, who will promptly act in accordance the Award. Any Award (including interim or final remedies) may be confirmed or enforced in any court having jurisdiction, including any court having jurisdiction over either party or its assets. The decision of the arbitrator will be final and binding on the parties, and will not be subject to appeal or review. Each party will advance one-half of the fees and expenses of the arbitrator, the costs of the attendance of the court reporter at the arbitration hearing, and the costs of the arbitration facility. In any arbitration arising out of or related to these Terms, the arbitrators will award to the prevailing party, if any, costs and attorneys’ fees reasonably incurred by the prevailing party in connection with that aspect of its claims or defenses on which it prevails, and any opposing awards of costs and attorneys’ fees awards will be offset. The parties will maintain the confidential nature of the arbitration proceeding, the hearing and the Award, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, or confirmation of an Award or its enforcement, or unless otherwise required by any applicable law. Any documentary or other evidence produced in any arbitration hereunder will be treated as confidential by the parties, witnesses and arbitrators, and will not be disclosed to any third person (other than witnesses or experts), except as required by any applicable law or except if such evidence was obtained from the public domain or is otherwise obtained independently of the arbitration.

SECTION 15 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Hyper Drill and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, including attorneys’ fees incurred from counsel selected by us in our sole discretion, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 16 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 17 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 18 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 19 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Florida.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

SECTION 22 - VIP MEMBERSHIP

If you purchased a VIP membership and would like to cancel you may do so by contacting cs@topscrewdrivers.com. Changes and cancellations must be made at least 3 days before your credit or debit card is charged for the next payment period.

VIP Discount Program From time to time, we may offer a one-time Discount Program to select participants (“Discount Program”). Discount Program will be offered in our sole discretion. A Discount Program provides participants with the benefits of a VIP membership at no cost during the Discount Program period. You will not be billed for the Discount Program during the Discount Program period. However, you will be billed for any vouchers or other services you purchase during the Discount Program period. The length of any Discount Program period may vary. You must have a registered “iModernTrends” account to participate in a Discount Program. Current VIP members are not eligible for a Discount Program. Previous VIP members and Discount Program participants who cancelled a VIP membership or Discount Program are not eligible for a subsequent Discount Program for at least thirteen (13) months after such cancellation. Your Discount Program period will begin when you complete the registration process. Upon expiration of your Discount Program period, you will automatically be registered for a monthly VIP membership and charged the monthly VIP membership fee unless you cancel your Discount Program prior to the end of your Discount Program period. Discount Programs can be cancelled at any time by contacting Customer Support at cs@topscrewdrivers.com. Discount Programs are subject to this Agreement as applicable, unless otherwise stated.

Modification of this Agreement We reserve the right at all times to discontinue or modify any part of this Agreement, as we deem necessary or desirable. Additionally, we reserve the right at all times to add or remove VIP membership services or to discontinue VIP. If we make changes that materially affect your use of VIP, we will notify you by sending you an e-mail to the e-mail address that is registered with your account and by posting notice of the change in the VIP Terms of Use. Any changes to this Agreement will be effective upon the earlier of our dispatch of an e-mail notice to you or our posting of notice of the changes in our VIP Terms of Use. We suggest that you revisit our VIP Terms of Use from time to time to ensure that you stay informed of any such notifications of changes to this Agreement. Your use of VIP after we update this Agreement will constitute acceptance of the modified Agreement.

SHIPPING

You will be responsible for paying for your own shipping costs for returning your item. Shipping costs are non-refundable.

For replacement, there will be a shipping and handling fee of US$10 per item or higher, depending on where you live and other factors. Depending on where you live, the time it may take for your exchanged product to reach you, may vary.

If you are shipping an item over $75, you should consider using a trackable shipping service or purchasing shipping insurance. We don’t guarantee that we will receive your returned item.

COVID-19

Due to challenges related to Covid-19, receipt of your order may take a little longer than normal. Kindly trust and be patient as all essential employees (at our warehouse, UPS, USPS and FedEx) are working hard and doing their best to get packages to our customers during these difficult times! Your order will be delivered, but may be delivered later due to local and global restrictions by postal carriers.

Due to these delays we have experienced an overwhelming amount of calls, emails and chats and kindly ask for your patience and trust your order will be delivered. Once your order has been shipped you will receive an email with all your tracking information.
